Services Agreement
This Services Agreement (the “Agreement”) contains the complete terms and conditions governing your subscription to website design, development, consulting, and other internet-related services provided by Shubham Tople (“Shubham,” “we,” “us,” or “our”).
“Client,” “you,” or “your” refers to the individual or business purchasing services.
By engaging our services, you confirm that you have read, understood, and agreed to these terms, along with any policies published on our official website.
Acceptance
By accepting a project quote, submitting payment, or accessing our services, the Client agrees to be legally bound by this Agreement.
No physical signature is required for this Agreement to be enforceable.
Charges and Payments
All charges are defined in the project quotation and are valid for 30 days unless otherwise stated.
A minimum 50 percent advance payment is required before work begins. The remaining balance is due prior to final delivery or launch.
Payments may be made via bank transfer, Stripe, or other approved payment processors.
The Client authorizes Shubham to charge the selected payment method for all agreed fees.
Stripe and Payment Processor Compliance
Payments processed via Stripe or other third-party processors are subject to their respective terms, policies, and compliance requirements.
Shubham does not control payment authorization, declines, cross-border restrictions, or risk reviews imposed by Stripe or issuing banks.
The Client is solely responsible for ensuring their card, bank, or account is eligible for domestic or international transactions.
Any fees, currency conversion costs, or transaction charges imposed by Stripe or banks are the responsibility of the Client.
Client Review and Content Control
The Client will be given an opportunity to review deliverables during development and must provide feedback within 10 calendar days.
The Client agrees to provide all required content (text, images, videos, credentials) in a timely manner.
Failure to provide required materials within 14 days may result in project delays, additional charges, or project termination with all completed work payable immediately.
Turnaround Time and Project Delays
Delivery timelines are estimates and depend on timely Client cooperation.
Delays caused by the Client may result in revised timelines or project closure with full payment due for work completed.
Browser Compatibility
Websites are tested on current versions of major browsers (Chrome, Firefox, Edge, Safari) at time of delivery.
Future browser or platform updates may require paid modifications.
Default, Failed Payments, and Chargebacks
Invoices are due upon receipt unless otherwise stated.
Accounts unpaid after 30 days may be suspended or terminated without notice.
The Client agrees not to initiate chargebacks without first contacting Shubham to resolve billing disputes.
Any chargeback, payment dispute, or reversal initiated without prior written notice constitutes a material breach of this Agreement.
The Client is responsible for all chargeback fees, dispute fees, penalties, and administrative costs incurred.
Shubham reserves the right to submit evidence, contracts, communications, and delivered work to Stripe or banks during disputes.
Termination
Either party may terminate services with written notice.
Fees for all completed work, milestones, or time incurred remain non-refundable and immediately payable.
No refunds are provided for completed services, digital work, or reserved capacity.
Refund Policy
Due to the custom and digital nature of services, all payments are non-refundable once work has commenced.
Refunds are not provided for dissatisfaction based on subjective preferences or changes in business direction.
Indemnity
The Client agrees to indemnify and hold Shubham harmless from any claims, damages, losses, liabilities, or legal costs arising from:
Client-provided content
Use or misuse of the website
Violation of laws, regulations, or third-party rights
Copyright and Intellectual Property
The Client confirms they have legal rights to all materials supplied.
Ownership of final deliverables transfers upon full payment unless otherwise agreed in writing.
Shubham retains the right to display completed projects in portfolios and marketing materials unless prohibited in writing.
Hosting and Server Access
If hosted externally, the Client must provide required credentials and access.
Shubham is not responsible for hosting outages, third-party server failures, or security breaches outside its control.
Post-Delivery Modifications
Shubham is not responsible for:
Changes made by third parties
Plugin, theme, or platform updates
Unauthorized access or modifications after delivery
Liability Disclaimer
To the maximum extent permitted by law, Shubham shall not be liable for:
Loss of revenue, profits, or data
Business interruption
Third-party service failures including payment gateways, hosting providers, or software platforms
Indirect, incidental, or consequential damages
Total liability shall not exceed the amount paid by the Client for services.
Severability
If any provision is held unenforceable, the remaining provisions shall remain in full force and effect.
Governing Law and Jurisdiction
This Agreement shall be governed by the laws of India, with exclusive jurisdiction in the courts of Maharashtra.
