Services Agreement
This Services Agreement (the “Agreement”) contains the complete terms and conditions governing your subscription to website design, development, and other Internet-related services provided by Shubham (the “Services”). As used in this Agreement, “Shubham” refers to the legal entity providing services, and “Client,” “you,” or “your” refers to the customer purchasing services. You acknowledge that you have read, understood, and agreed to these terms and conditions, along with any policies posted on Shubham’s official website.
Acceptance
By accepting a project quote, the Client agrees to be bound by these terms and conditions. No physical signature is required for this Agreement to be legally binding.
Charges and Payments
- Charges for services are defined in the project quotation, which is valid for 30 days. Shubham reserves the right to modify or withdraw a quote after this period.
- A minimum 50% advance payment is required before commencing work, with the remaining 50% due before delivery.
- Payments must be made via bank transfer. Bank details will be included in the invoice.
Client Review and Content Control
- The Client will be given the opportunity to review the website during development and must provide feedback within 10 days.
- The Client agrees to provide all necessary content (text, images, multimedia) in a timely manner.
- If the Client fails to provide content within two weeks, Shubham reserves the right to impose a surcharge or terminate the project, requiring immediate payment of outstanding balances.
Turnaround Time and Project Delays
- Shubham will deliver the website as per the agreed timeline unless delays are caused by the Client.
- If the Client does not provide required information on time, Shubham may close the project and demand full payment.
Browser Compatibility
- Shubham ensures website functionality in major browsers (Chrome, Firefox, Edge, Safari) at the time of delivery.
- Future browser updates may affect the website’s performance, and additional charges will apply for modifications.
Default and Non-Payment
- Invoices must be paid upon receipt. Unpaid invoices after 30 days will be considered in default.
- Default accounts may have services suspended or terminated without notice.
- Any legal or collection fees incurred to recover outstanding balances will be charged to the Client.
Termination
- Clients may terminate services by providing written notice. Fees for completed work must still be paid in full.
- Refunds will not be provided for work already completed.
Indemnity
- The Client agrees to indemnify and hold Shubham harmless against any claims, damages, or legal actions resulting from their use of the website.
Copyright and Intellectual Property
- The Client must have legal rights to all materials provided.
- Shubham retains the right to display the project in their portfolio unless explicitly prohibited in writing.
Hosting and Server Access
- If the website is hosted externally, the Client must provide necessary server access to Shubham.
Post-Placement Alterations
- Shubham is not responsible for changes made by third parties after project completion.
Liability Disclaimer
Shubham disclaims liability for:
- Loss or damage caused by errors, omissions, or delays.
- Website downtime due to hosting issues outside Shubham’s control.
- Third-party service failures (e.g., payment gateways, hosting providers).
- Loss of data due to external modifications or unauthorized access.
Severability
If any provision of this Agreement is deemed unenforceable, the remaining terms shall remain in effect.
Governing Law
This Agreement shall be governed by Indian law, with disputes subject to courts in Maharashtra.
